All in, call, or fold?

Scenario, 3 players left. Small blind, 40,000 goes all in for 100,000 (loose erratic player). I am big blind,80,000, with 140,000 left. Pocket deuces. Player 3 chip leader big, very conservative and has been avoiding conflict at the final table.

I go all in for 220 expecting player three to fold, he calls. All in? Call? Fold?

Thoughts and why would be appreciated.

How high is the prize money and how big are the differences between the 3 of you?
If you are quite content with the money for 3rd place, I'd say go for it, all in!
If you aim higher: fold!
22 is simply too easilly and too often beaten.
it's better to wait your next hand, where an A, K or Q might allow you to go all in and take the big blind and the antes with less risk.
For me, it all depends on how much you want to move up 1 or 2 places.
